If the Licensee fails to account to the Licensor, the Licensor shall have the right to terminate this license upon written notice to the Licensee. The Licensee must provide timely and complete payments. Such termination shall render the recording, manufacture and/or distribution of recordings for which the money has not been paid. The Licensee is subject to and actionable as infringement and applicable law.

The Licensee agrees to indemnify and hold the Licensor harmless from and against any and all losses, damages, claims, expenses, and costs, including, without limitation, reasonable attorney’s fees, arising out of or resulting from a claimed breach of any of Licensee’s representations, warranties or agreements hereunder.

The Licensee agrees that the clearing of any sample materials used in the Instrumental is the responsibility of the Licensee.

If the Licensee fails to account to the Licensor, the Licensor shall have the right to terminate this license upon written notice to the Licensee. The Licensee must provide timely and complete payments. Such termination shall render the recording, manufacture and/or distribution of recordings for which the money has not been paid. The Licensee is subject to and actionable as infringement and applicable law.

The Licensee agrees to indemnify and hold the Licensor harmless from and against any and all losses, damages, claims, expenses, and costs, including, without limitation, reasonable attorney’s fees, arising out of or resulting from a claimed breach of any of Licensee’s representations, warranties or agreements hereunder.

The license and rights granted hereunder will terminate automatically upon any breach by Licensee of the terms of this license.

READ THIS: By purchasing this audio file you agree to these terms. This serves as a legally binding contract between Jamal Paige Williams (Licensor) and you (Licensee). This contract grants the Licensee non-exclusive rights to the untagged wav instrumental. The license is non-refundable and non-transferable.

The Licensor grants to the Licensee the right to record vocal and or instrumental synchronization to any or all parts of the instrumental. The Licensee has the right to use the instrumental in the production of one (1) new musical composition and master recording.

The Licensee is limited to a distribution of five thousand (5000) copies of the Master Recording, which may be distributed on any media platform. The Licensor will not receive royalty for the first five thousand (5000) copies of the Master Recording sold. A new lease or exclusive rights license would need to be bought in order to continue distribution after five thousand (5000) copies of the master recording have been distributed.

The Licensor maintains 100% copyright and ownership of the Original Instrumental Composition that is being licensed in this agreement. The licensee has neither the right nor authority to sell or license the rights to the Original Instrumental Composition whether in whole or part to any other party. Licensee cannot use beat compositions as background element in TV, Film and DVD projects without obtaining written consent and/or another license agreement.

The Licensor hereby grants the Licensee a non-exclusive License to use the Master Recording in unlimited non-profit performances, shows, concerts, or projects. The Licensee is also permitted to earn up to one thousand ($1,000) US Dollars in compensation or ticket sales.

The Licensor can continue to sell the Instrumental non-exclusively and/or exclusively. The Instrumental must be altered with lyrics before distribution and may not be distributed as an instrumental alone. In the event that another individual purchases exclusive rights to your licensed instrumental, you will retain your non-exclusive rights under the limitations listed in this agreement.

The Licensee must acknowledge production credit (original authorship of the composition) to the Licensor for any and all distributed material and in all media and performance formats by acknowledging J Fusion Productions. This can be done verbally (through recorded vocals on the Master Recording) or written in or on the CD booklet or outside cover (written as: Produced by J Fusion). The Licensor Reserves the right to place an audio signature at the beginning of all nonexclusive instrumentals. Where a project is commercially released and registered with a Performance Rights Organization, Licensor shall be acknowledged as a Writer (Jamal Paige Williams).
